I don't think that these two work together, but cannot explain why not. Please help.

pounce allows you to make a close combat attack and exploit is a close combat action. ah the wreckage that could ahve been....

It's just as parkker says, since Pounce grants you a free close combat attack, rather than an action, you cannot combine the two. Just as you cannot combine pounce with Close Combat Expert, Incapacitate, etc.
