Bats lost badly facing Prometheus the first time. When Cap faced Prometheus the first time, and Prometheus just downloaded Batman's fighting styles? Cap trashed him easy.
In the one instance we know where they faced the same opponent, Cap fared far better.
So I'll go with Cap. Cap's physical advantages trump Bat's gadgets. Though I'm sure Adam West Batman would have Anti-Patriot repellent or something in the utility belt.
Also, Steve Rogers recovered from his chronal disturbance a lot faster than Batman did. Sorry Bruce, quit being a caveman and get to work.
Oh, and Gambit hotwired and stole the Batmobile. Cap would never let that happen to his ride.

depends. if they knew the fight was coming than bat because he is better with prep time. But if the 2 wer just thrown in a room out of the blue and had to fight each other than Cap.

A full page of staring each other down, sizing each other up, and finally Batman concedes to Cap that Cap would be able to take him, but it would be a lengthy battle.

Plus (as I have argued with my friend since High School) Cap is a soldier though and through. Not just at the peak of human physical conditioning and fighting ability but also in tactics, exploiting weaknesses, etc.
Bats is a grade A+ fighter, and a briliant mind, but he is a bit more reliant on gadgets and his brain is more hardwired for detective work and analysis.

That's a pretty weak arguement.

No, they're not - as was already explained in this thread. Batman says it's conceivable that Cap may win.
It's conceivable that I can win in a fight against someone a foot taller than me and with a good 100 pounds of weight on me, too. Likely? No. Conceivable? Sure. Anyone who cites the JLA/Avengers fight as the reason why Cap would win is, in fact, citing a worthless example.
Anyway, Batman would win. The two are roughly equal in hand-to-hand (that much we actually can get out of the JLA/Avengers fight). Then Cap has a shield. A shield against...a small arsenal of equipment, ranging from miniature flame throwers, knockout gas, explosives, a grappling gun, and a slew of other things.
As it stands, being a soldier amounts to nothing in comparison to being a superhero - if the things superheroes did could be accomplished by the military, they would be. Cap's status as a soldier doesn't mean much - anyone who's a superhero has already surpassed that level of training. As for Batman's gadgets, that's exactly why he'd win the fight. Not factoring Batman's gadgets into the fight is like taking away Iron Man's suit.
Cap's stronger and faster than Batman. Chimpanzees are stronger and faster than people. Tool use and intellect, not physical prowess, is what lead to our dominance. This goes to the guy who's only slightly less physically powerful than Cap, but way more intelligent and with many more tools at his disposal.

Main reason... Batman doesn't fight fair, and has been trained to be a weapon.. not use one. Cap knows how to fight hand to hand, and knows some moves.. but Batman's not above a kick to the jewels, and a gouge to the eyes, or a set of Brass Knuckles to the temple. Even without Bats utility belt.. he'd beat Steve..

Captain America is one of those characters whose power is never really gauged. In some books I've seen him be glass jawed. In others he's gone toe-to-toe with Hulk (I believe Ultimates Cap actually kicked said supah-freak in the jewels.) I've seen him fight fairly, and I've seen him fight dirty. More often than not, however, he fights like a soldier: quick, merciless, and (yes) dirty.
Ultimates Cap especially does not fight fair. That is why he is my real American hero, like a Marvel representation of G.I. Joe.
That being said, I've voted for Batman. Wayne does not have Rogers' physical prowess or enhanced strength, but Bats can outsmart Cap. It's arguable who has more connections (Cap through SHIELD and Batman through all his informants) but it's safe to say Batman has more, and therefore is better prepared for his encounter with Captain America.
