I thought it was Replace THEN modify.. is it Modify THEN replace?

It is replace, then modify when the two occur simultaneously...for example, if you borrowed a defense value via Defend on a figure with ESD, you would replace the defense then modify with the +2.

In this case, the modifier is in place from an action which already happened.
