I believe the 2nd fight was on Empire State's University Campus. Spidey webs him to the stairs of a building and they talk things out. This happens right after Gwen dies in 121-122. Meets Luke in 123 and the fight begins. Next appearence together???? I think Marvel Teamup 59ish.

What was the reason behind Spider-Man and Hulk's first battle? There was a reason not just bumping into each other.

Wasn't Spidey chasing the Green Goblin around in a cave where the Hulk was hiding out? That's about as specific as I can get - I just remember reading the reprint in Marvel Tales a loooooooong time ago.

That's not what happened in their first battle, in Amazing Spider-Man #14. Their first battle is as Hultster described it. Are you talking about the challenge the Avengers gave Spider-Man as a test for membership, in Amazing Spider-Man Annual #3? Not their first battle.

The Hulk Vs Spidey original battle took place as Hultquist put it. Admittedly, it wasn't much of a battle, as Spidey wasn't looking for Hulk and it was a surprise meeting and Spidey tried to get away from the Hulk more then he tried to fight the Hulk.
