TAKE DOWN: Captain America can use Incapacitate as if he had 2 targets. When he does and hits 2 characters, he may give one hit character 2 action tokens instead of giving each of them one. If that character can't be given the second action token, deal it 1 penetrating damage instead.
Incapacitate: Give this character a close combat or ranged combat action to make an attack that deals no damage. If the attack hits, give the target an action token; if the target already has 2 action tokens, deal the target 1 penetrating damage.
SITUATION 1: Assume that Captain America uses TAKE DOWN to hit two opposing characters, one of whom has 0 action tokens and one of whom has 2 action tokens. His player opts to give the character with 0 action tokens both action tokens through the use of TAKE DOWN.
Question 1: Does the character who already had 2 action tokens, who was not given any action tokens through the use of TAKE DOWN, take any damage? If so, how much?
SITUATION 2: Assume that Captain America uses TAKE DOWN to hit two opposing characters, both of whom have 1 action token. His player opts to give one of the two characters both action tokens through the use of TAKE DOWN.
Question 2: Does the character being given two action tokens place the first action token (bringing it to 2 total action tokens), fail to place the second action token, and take a penetrating damage from the use of TAKE DOWN? If not, what happens instead?
SITUATION 3: Assume that Captain America uses TAKE DOWN to hit two opposing characters, both of whom have 2 action tokens. His player opts to give one action token to each, prompting the checks for action tokens and penetrating damage.

Because he had two tokens and you hit him with Incap, he will take one penetrating damage. Cap's power does not change this.

Yes, that is exactly what happens.

They will both take 1 penetrating damage from being Incapped while habing two tokens. You did not choose the utilize the additional effect of Take Down, so it will not activate to give more penetrating damage.
The part "If that character can't be given the second action token, deal it 1 penetrating damage instead." refers to the character you chose to give two tokens to. If you did not do it, that part does not happen.
Ok. So is there ever ANY situation where the damage clause from TAKE DOWN and the damage clause on Incapacitate could ever overlap? If TAKE DOWN is merely Incapacitate with a targeting wrinkle, why does TAKE DOWN even have the damage clause on it to begin with when the text of Incapacitate should suffice?

One character has two tokens and the other has one token. You decide to give both tokens to the character with one token. The character that already had two tokens will take the penetrating damage from Incapacitate. The character that had one token will take a token (and possible pushing damage) and since it can't be given the second token, it will take the penetrating damage from Take Down.
