1. Its a resource, not a character
2. Its has no keywords because its a resource, not a character.
Arguments why it will:
1. It grants characters with dials.
2. It sits on the map.
Both are valid, but I have to assume that the intent is that it won't.

Right. What we have now is that you add it during construction (which means it would effect theme) and it very specifically adds characters to your force. Characters added during construction that don't match the keyword break theme. I really can't see how else to read the rules.
I don't know if that's the intent, or not. Maybe we'll see a change. But maybe we won't: the benefits of having it on your force are significant even if it costs you theme benefits.
I can explain it to you, but I can't understand it for you.

Given that at 100 points, you can attach two resources to a single character (BC and UB), gain Alfred, and attach the same resources to additional characters for only 10 points each, the lack of any theme bonuses is overshadowed by the potential to do much more than make a few PC rolls (that may result in a miss).
Even if your opponent wins the intiative roll and chooses a map that may provide less cover for the Bacave, the change to Smoke Cloud-- from 4 to 6 tokens-- will effectively mask one entire side of the base, given that there is no higher elevation of terrain to be attacked from.
Just on the same note: Do pogs break theme? How about blackheart's demons? or how about the zombie's?
I can't check at the moment because im mobile, but at the top of my head I'm thinking the batcave is added to the force as a resource but grants the use of 1 or 2 character dials as a bonus. So perhaps keywords might not have to be factored into it?
You guys do realize that you won't get an official response until May 1st at the earliest, right? The Batcave hasn't been officially released, so the "oranges" won't even comment on it.
Personally, I'd bet on it breaking theme since the characters are added to your force when the Batcave is assigned, which would technically be before checking for keywords. But I could be wrong, so...

They can't comment on stuff that hasn't been officially previewed or released, but the Batcave has been officially previewed, so there's nothing stopping the oranges from answering these questions.

It's been officially previewed on the WK site, which has always been enough of a "trigger" to permit an official response.
(And while I understand refusing to comment on reports based on vendors who broke street date, one would think that a Figures.com "review" would be considered "official" since WK provides the material and official images...)

Oops, didn't know it had been revealed through official channels yet. Thanks for the correction, guys. I'll be on the lookout for the ruling, then...

Not to suggest that figures.com would do this, but they send images out for their preview. If I really wanted to mislead someone, I could edit those pictures. I have seen some pretty convincing cards in the mod threads.
Again not saying anyone would, but unless WizKids sent the deputies a copy of Previews sent out, there is no way for them to tell if it has been altered. This is why they normally only comment on official previews.
