I have

with all fragments on it

Say the new iron man (who doesnt fly)

Does he now have flight and posion?????

If you assign him one of the Fragments, yes he will have Flight and Poison.

You only get flight and Poison if the fragment is played as a relic. Flight and Poison are not included in the resource effects.

Blarg, you're right. It's been forever since I've played my Phoenix Force that I forgot that's only on the relic side.

Characters assigned fragments use the relic side. The resource side is for when they are attached to the Phoenix Force itself
